ENTERPRISE TRANSACTION ADDENDUM

This Enterprise Transaction Addendum (“Addendum”) supplements the TrueNAS Terms and Conditions of Sale (“Base Terms”) and applies only to the extent expressly referenced in a written quote, purchase order, or statement of work (“Transaction Documents”) issued by TrueNAS and accepted by Customer.

This Addendum does not apply unless expressly incorporated by reference in the applicable Transaction Documents.

1. Order of Precedence

In the event of a conflict, the following order of precedence shall apply:

  1. This Addendum
  2. The applicable Transaction Documents
  3. The Base Terms

All provisions of the Base Terms not expressly modified by this Addendum remain in full force and effect.

2. Scope and Intent

This Addendum is intended to address transaction-specific enterprise requirements that may include, by way of example:

  • Customized delivery terms
  • Enhanced service levels or support commitments
  • Regulatory or compliance representations
  • Adjusted limitation of liability provisions

No obligations shall apply unless expressly stated in the applicable Transaction Documents or this Addendum.

3. Delivery and Acceptance (Optional Override)

If expressly stated in the Transaction Documents, delivery terms may differ from those set forth in the Base Terms. Any such deviation shall apply solely to the transaction identified in the applicable Transaction Documents.

Unless otherwise expressly agreed, all delivery dates remain estimates only.

4. Service Levels and Support (If Applicable)

If Customer purchases enterprise support services or service levels beyond standard offerings, such services shall be provided in accordance with the service descriptions and service levels expressly set forth in the applicable Transaction Documents.

No service level credits or remedies apply unless expressly stated.

5. Regulatory and Compliance Matters (Clarification)

TrueNAS represents that it will comply with laws and regulations generally applicable to vendors providing the Products and Services described in the applicable Transaction Documents.

Nothing in this Addendum shall be construed as:

  • A guarantee of Customer’s compliance with any law or regulation; or
  • An agreement to comply with laws not expressly applicable to TrueNAS as a vendor

Customer remains solely responsible for its compliance obligations.

6. Data Protection and Security (Clarification)

TrueNAS Products may include technical features designed to support data security (e.g., encryption, access controls). However:

  • TrueNAS does not control Customer data or Customer environments
  • Use of the Products does not, by itself, ensure compliance with any specific data protection or security regulation
  • Customer is responsible for configuring and operating the Products in accordance with its legal and regulatory requirements

7. Limitation of Liability (Enterprise Adjustment – If Applicable)

If expressly stated in the applicable Transaction Documents, the limitation of liability set forth in the Base Terms may be modified solely for the transaction identified therein.

Any such modification must be explicit and shall not apply to any other transaction.

Except as expressly modified, the limitation of liability provisions in the Base Terms remain unchanged and in full force and effect.

8. Confidentiality

The confidentiality provisions set forth in the Base Terms apply to this Addendum and any Transaction Documents executed hereunder.

9. Term and Applicability

This Addendum applies only to the specific transaction(s) expressly identified in the applicable Transaction Documents and does not amend or modify the Base Terms for any other transaction.

10. No Other Modifications

Except as expressly stated in this Addendum or the applicable Transaction Documents, the Base Terms remain unchanged.
